Banc Title & Escrow Services provides professional escrow and title services in Brazil, including but not limited to: • Real estate transactions (residential and commercial) • Business mergers and acquisitions • Legal settlement coordination • Estate planning and inheritance matters • Construction and service contract escrow • International transaction facilitation • Title searches, reviews, and insurance coordination Our services are provided in accordance with Brazilian law, U.S. law where applicable, and all relevant international regulations. All escrow services are conducted through licensed and bonded professionals.

3. Eligibility and Account Requirements

To use our Services, you must: • Be at least 18 years of age or the age of majority in your jurisdiction • Have the legal capacity to enter into binding contracts • Provide accurate, current, and complete information during registration • Maintain the security and confidentiality of your account credentials • Notify us immediately of any unauthorized use of your account We reserve the right to refuse service to anyone for any reason at any time, in compliance with applicable anti-discrimination laws.

4. Escrow Services and Obligations

When you engage our escrow services: • Funds will be held in a secure, segregated escrow account • Release of funds will occur only when all documented contractual conditions are met • You agree to provide all necessary documentation for identity verification (KYC/AML compliance) • You authorize us to conduct necessary due diligence checks as required by law • You acknowledge that transaction timelines may vary based on third-party dependencies • You understand that we act as a neutral third party and do not provide legal advice All escrow agreements are subject to separate escrow instructions signed by all parties to the transaction.

5. Fees and Payment Terms

Service fees are determined based on: • Transaction complexity and value • Type of service requested • Required research and documentation • International coordination requirements All fees will be disclosed in writing before engagement. Payment terms include: • Fees are non-refundable once services have commenced • Payment may be required upfront or at closing, as specified in your service agreement • Additional fees may apply for expedited services or out-of-scope work • Currency conversion rates (if applicable) will be based on PTAX or agreed-upon market rates We accept payment via wire transfer, bank transfer (PIX), and other methods as specified in your engagement agreement.

6. User Responsibilities

7. Privacy and Data Protection

9. Intellectual Property

All content on our website and in our materials, including but not limited to text, graphics, logos, images, software, and design, is the property of Banc Title & Escrow Services or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not: • Copy, modify, distribute, or reproduce our content without written permission • Use our trademarks or branding without authorization • Reverse engineer or attempt to extract source code from our software • Create derivative works based on our materials Limited use rights are granted solely for accessing and using our Services for their intended purpose.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: • We provide Services "as is" without warranties of any kind, express or implied • We are not liable for indirect, incidental, consequential, or punitive damages • Our total liability shall not exceed the fees paid by you for the specific service at issue • We are not responsible for delays or failures caused by third parties, government agencies, or circumstances beyond our reasonable control • We do not guarantee specific outcomes for transactions This limitation applies to all claims, whether based on contract, tort, negligence, strict liability, or any other legal theory. 11. Indemnification

You agree to indemnify, defend, and hold harmless Banc Title & Escrow Services, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: • Your use or misuse of our Services • Your violation of these Terms and Conditions • Your violation of any applicable law or regulation • Your infringement of any third-party rights • Any false or misleading information you provide This indemnification obligation survives termination of your use of our Services.

12. Dispute Resolution and Governing Law

GOVERNING LAW: These Terms and Conditions are governed by the laws of Brazil, with specific provisions subject to U.S. law where applicable to U.S.-based parties or U.S. aspects of transactions. DISPUTE RESOLUTION: Any disputes arising from these Terms or our Services shall be resolved through: 1. Good faith negotiation between the parties 2. Mediation, if negotiation is unsuccessful 3. Arbitration or litigation in appropriate jurisdiction if mediation fails For transactions involving Brazilian real property or Brazilian parties, disputes shall be subject to the jurisdiction of Brazilian courts. For transactions involving U.S. parties or U.S. aspects, appropriate U.S. jurisdiction may apply. Class Action Waiver: You agree to resolve disputes individually and waive any right to participate in class action lawsuits, to the extent permitted by law.

13. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website or upon notification to active clients. Material changes will be communicated via: • Email notification • Prominent website notice • Direct communication for active transactions Your continued use of our Services after changes are posted constitutes acceptance of the modified terms. If you do not agree to modified terms, you must discontinue use of our Services.

14. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including: • Breach of these Terms and Conditions • Fraudulent or illegal activity • Failure to provide required documentation • Non-payment of fees • Conduct that damages our reputation or interests Upon termination: • Your right to use our Services ceases immediately • Provisions regarding confidentiality, indemnification, and limitation of liability survive • Funds held in escrow will be handled according to the specific escrow agreement and applicable law

15. Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

16. Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and Banc Title & Escrow Services regarding use of our Services, superseding any prior agreements or understandings.
